Terms and Conditions

These Terms and Conditions constitute an agreement between Vital EZones (the "Marketplace"), and users, including sellers ("Sellers") and buyers ("Buyers") (collectively, the "Users"). By using the Marketplace platform, you agree to abide by these terms.

1. Contract

By registering on Vital EZones as a Buyer or Seller and utilizing its services, you agree to these Terms and Conditions. Approval for work or services shall be deemed a contractual agreement between the User and Vital EZones. Payment of any applicable fees indicates acceptance of these terms.

2. Use of Vital EZones Platform

Users agree not to use the Marketplace for activities that are illegal, harmful to society or children, or infringe on intellectual property rights. Sellers are solely responsible for the content they upload, including product descriptions, images, and pricing. Buyers are responsible for ensuring that their use of products/services complies with all applicable laws.

3. Technical Support

Vital EZones provides technical support for platform-related issues for Sellers, including:

• Errors related to website functionality.
• API integration errors caused by platform-related problems.

This support does not include issues resulting from:

• Third-party modifications to the Marketplace software.
• Incompatibilities due to external updates or browser changes.

4. Graphics and Media Usage

• Sellers may use their own graphics, but they are responsible for securing rights to use those graphics commercially.
• Any images, banners, or promotional content provided by Vital EZones for demonstration purposes remain the property of Vital EZones and must not be reused without proper licensing or approval.

5. Browser Compatibility

The Marketplace is optimized for the latest versions of mainstream browsers like Chrome, Firefox, and Safari. Compatibility issues arising from outdated browsers or future browser updates may incur additional charges to address.

6. Search Engine Optimization (SEO)

SEO services, including website submission and securing rankings on search engines, are not included unless specifically agreed upon in writing.

7. Site Maintenance

Sellers are responsible for maintaining their storefront content. Any additional maintenance services, such as updating product descriptions or making design changes, may incur extra fees.

8. Content Responsibility

Sellers are solely responsible for all content they upload, including ensuring that it complies with copyright laws. Vital EZones is not liable for any errors in content provided by Sellers.

9. Materials

All materials provided by Sellers remain their property. Sellers are responsible for ensuring that any materials do not infringe on third-party rights.

10. Domain Name Registration

If Vital EZones assists in securing domain names for Sellers, the domain remains the property of Vital EZones until full payment for the service has been made.

11. Third-Party Costs

Sellers are responsible for costs associated with third-party services required for their stores, including:

• Domain registration.
• Hosting fees.
• Payment gateway fees.

12. Payment Terms

Payments for fees related to the Marketplace, including commissions and subscriptions, are due within 14 days of invoice issuance unless otherwise specified. Late payments may incur penalties.

13. Refund Policy

Refunds for subscription fees or services will only be issued if the Marketplace is at fault and cannot resolve an issue. Refund requests must be submitted in writing within 30 days of payment.

14. Penalty for Delayed Deliverables

If delays from Sellers or Buyers impact platform operations, Vital EZones reserves the right to suspend access to affected accounts. Sellers who fail to meet agreed-upon listing or shipping requirements may face penalties, including account suspension or removal.

15. Intellectual Property

Unless otherwise agreed, all proprietary materials, including source code, platform scripts, and framework designs, remain the property of Vital EZones. Sellers and Buyers may not:

• Reverse-engineer platform features.
• Share proprietary materials with third parties.

16. Termination of Agreement

Vital EZones reserves the right to terminate access to the platform for Sellers or Buyers who violate these Terms and Conditions. Termination will not absolve any party of obligations incurred prior to termination.

17. Modifications

Vital EZones reserves the right to modify these Terms and Conditions at any time. Users will be notified of significant changes via email or through the platform.

Privacy Policy

Users must review and agree to the Privacy Policy to use the Marketplace.
